Introduction

Every business has potential trade secrets that could become legally protectable if only the owner would take reasonable steps to prevent their public disclosure. Companies that derive a competitive advantage from the information it develops over time may protect that information as a trade secret. However, the owner must take steps that are reasonable under the circumstances to ensure that the secret isnt inadvertently misappropriated either through employee ignorance, lack of protective measures or simple failure to recognize the secret as a trade secret.  In this discussion, youll analyze trade secret protection, first by thinking of a protectable secret and what steps would need to be taken to shield it from public disclosure, then by consulting with your classmate to improve his or her protection plan.

Assignment Instructions

Part 1: Find an article describing a trade secret case, whether decided or in progress.

  • Describe the gist of the lawsuittrade secret cases are interesting so be sure to include enough detail so your classmates know what happened. If the court ruled, what was the finding and punishment (if guilty)?

Part 2: Think of a trade secret that could arise in your business or area of interest. It must meet the basic trade secret criteria of (a) giving you an advantage in your business and (b) not being something the public can easily obtain from other sources such as books, the Internet or experts in the field. If you developed the secret, how would you protect it? 

  • Explain the secret.
  • Discuss the means you would use, considering whether physical (e.g., notices, locks), contractual (e.g. non-disclosure, non-compete agreements) and/or operational (e.g., policies, procedures) safeguards would be needed.  
  • Explain how these measures will help prevent others from learning the secret.

Crisis Implementation

Implementation of a crisis management system is critical to an organization. After completing the planning phases, the implementation phase includes developing the resources needed and the specific plans to address emergency response, communication, continuity, information technology, incident management and exercise/training.

The FEMA planning system addressing the following areas:

Implementation of the preparedness program includes identifying and assessing resources, writing plans, developing a system to manage incidents and training employees so they can execute plans.
Resource Management: Resources needed for responding to emergencies, continuing business operations and communicating during and after an incident should be identified and assessed.
Emergency Response Plan: Plans to protect people, property and the environment should be developed. Plans should include evacuation, sheltering in place and lockdown as well as plans for other types of threats identified during the risk assessment.
Crisis Communications Plan: A plan should be established to communicate with employees, customers, the news media and stakeholders.
Business Continuity Plan: A business continuity plan that includes recovery strategies to overcome the disruption of business should be developed.
Information Technology Plan: A plan to recover computer hardware, connectivity and electronic data to support critical business processes should be developed.
Employee Assistance & Support: The business preparedness plan should encourage employees and their families to develop family preparedness plans. Plans should also be developed to support the needs of employees following an incident.
Incident Management: An incident management system is needed to define responsibilities and coordinate activities before, during and following an incident.
Training: Persons with a defined role in the preparedness program should be trained to do their assigned tasks. All employees should be trained so they can take appropriate protective actions during an emergency.

What are the types of plans, programs and resources needed in the implementation phase of crisis management?
For the organization chosen, generally discuss which of these plan, programs and resources apply.  Provide a discussion with some detail on each. Justify your answers.
Assignment Expectations
Length: This Case Assignment should be at least 3 pages not counting the title page and references. Paper format: (a) Cover page, (b) Header, (c) Body. Including an Abstract page/opening. The abstract begins on a new page and includes the page header. The word Abstract (no bold, italics, underlining) is centered on the first line of the page.
On the next line begins a brief yet succinct summary (abstract) of the main points of the paper. The summary is a single double-spaced paragraph and is not indented. It is typically between 150 and 250 words and includes the research topic, research questions, participants, methods, results, data analysis, and conclusions.

References: At least two references should be included from academic sources (e.g. peer-reviewed journal articles). Required readings are included. Quoted material should not exceed 10% of the total paper (since the focus of these assignments is critical thinking). Use your own words and build on the ideas of others. When material is copied verbatim from external sources, it MUST be enclosed in quotes. The references should be cited within the text and also listed at the end of the assignment in the References section (preferably in APA format).

Organization: Subheadings should be used to organize your paper according to question.

Grammar and Spelling: While no points are deducted, assignments are expected to adhere to standards guidelines of grammar, spelling, punctuation, and sentence syntax. Points may be deducted if grammar and spelling impact clarity.

Candie Cardigan as a representative for CARDWARE has decided to auction her strapless giraffe print dress made of silk, satin with velvet markings. This particular dress was used in a movie filmed in S. Africa. The dress had been show cased among other famous dresses in the Silkadonia Actors Guild Museum. Cassie Cardigan was chosen to act as the auctioneer for World Wide Auction House. The bidding for the dress began at $5,000. Pearl has been looking forward to participating in the auction for this dress for over three months. Pearl raised her auction paddle and bid the initial $5,000. Jade also wanted the giraffe print dress and upped the ante to $5,500. The two battled the bidding to where it appeared that Pearl got the dress for $8,500.00, as Cassie smiled and nodded at Pearl.

Candie and Jade had been friends for years, as they had modeled together growing up as children. Candie quietly told Cassie to sell the dress to Jade. When Pearl presented $8,500 to Cassie, Cassie refused to take her money claiming that the dress was to go to Jade. Cassie further explained that Jade had allegedly had raised her paddle after Pearls final bid and showed five fingers meaning that she was bidding $500.00 more over the $8,500.00 bid made by Pearl. In reality, no such action by Jade had taken place.

Pearl now wants to sue for breach of contract. She has come to your office asking for your help. She wants you to request that Candie turn the dress over to her for the $8,500 that she bid. Your supervising attorney Les Agne indicates that you should investigate a cause of action for breach of contract, as well as a cause of action based on specific performance. Be aware of whom the true Plaintiff may be in this potential case and who causes of action may be brought against. Also, Les has scribbled the following notes to help you with organizing your thoughts regarding Specific Performance.

After you establish a contract exists as a result of the auctioning of the giraffe print dress, you may want to consider the following with regard to specific performance:

        You must have a contract in place
        The remedy at law must not be adequate (hence damages alone will not provide relief to the party who is seeking specific performance.
        The remedy must be enforceable
        If one party can bring the action for specific performance, so can the other if the positions were reversed.
        If there were any conditions to the contract, all were satisfied.
Be sure to discuss defenses with regard to the contract. In other words, what will Candie or the Auction House say in response to there being a contract?

    • Some crime families have strict membership requirements, along ethnic lines. Is this something that is common among organized crime organizations, or is this just an Italian/Sicilian thing?
